Terms of Use — Otto Receipts

1. About these Terms

These Terms of Use (“Terms”) are a legal agreement between you and Yeung Gerrard Group Inc. (“we,” “us,” “our”), a company incorporated in British Columbia, Canada, operating as Agent OS. They cover your use of the Otto Receipts mobile app for iOS and Android (“Otto Receipts” or “the app”).

By creating an account or using Otto Receipts, you agree to these Terms and our Privacy Policy (www.youragentos.ai/privacy). If you do not agree, please do not use the app.

2. What Otto Receipts does

Otto Receipts is a record-keeping tool. It lets you photograph receipts and pulls out details such as merchant, date, totals, tip, GST/PST/HST and the vendor’s GST/HST registration number. You can also log vehicle mileage trips, yearly odometer readings, meal attendees and business purpose notes, and export your records as CSV files for your Canada Revenue Agency (CRA) tax records.

3. Otto Receipts is not tax advice

• Otto Receipts does not give tax, accounting or legal advice. Using the app does not mean your records meet CRA requirements.
• You are responsible for your own tax filings and for deciding what you can claim. Talk to a qualified tax professional if you are unsure.
• Receipt reading is automated and can make mistakes. Always review and correct the extracted details before you rely on them.
• Keep your original receipts and your own copies of exported records for as long as the tax rules require (generally six years in Canada).

4. Who can use Otto Receipts

You must be at least 18 years old to use Otto Receipts.

5. Your account

You sign in with Google or Apple. Keep your account secure and tell us right away if you think someone else is using it. You are responsible for activity on your account.

You can delete your account and all associated data at any time in the app under Settings > Delete my account, or by emailing team@youragentos.ai. Deleting your account deletes your saved records, so export anything you need first.

6. Free plan and Otto Pro

Free plan:

• Up to 150 receipt scans per month.
• Includes ads.
• Receipt photos are deleted 90 days after upload. Your receipt details stay for as long as you have an account. Please export your CSVs regularly.

Otto Pro (paid subscription):

• No ads.
• Receipt photos are kept while your subscription is active. If it ends, photos older than 90 days are deleted; your receipt details stay.
• The price and billing period are shown in the app before purchase.

We may set fair-use limits to prevent abuse and keep the service running well. We may change the features or limits of either plan. If a change materially reduces what you paid for, we will tell you in advance.

7. Subscriptions, renewal and refunds

• Payment is charged to your Apple ID or Google Play account when you confirm your purchase.
• Your subscription renews automatically unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours before the end of the current period.
• You can manage or cancel your subscription in your App Store or Google Play account settings. Deleting the app does not cancel your subscription.
• If you cancel, you keep Otto Pro until the end of the period you already paid for.
• Refunds are handled by Apple or Google under their own refund policies. We cannot issue refunds for purchases made through their stores.
• Price changes will be communicated as required by Apple, Google and applicable law.

8. Your content

Your receipts, trip logs, notes and other records (“Your Content”) belong to you. You give us permission to store, process and display Your Content only as needed to run Otto Receipts for you, including sending receipt images to our service providers (such as Google’s Gemini API) to extract data. You confirm you have the right to upload Your Content. Only add other people’s personal information (such as meal attendee names) when you need it for your records.

Back up your data. We are not responsible for lost data, especially on the free plan, where receipts are not kept long term.

9. Acceptable use

When using Otto Receipts, you agree not to:

• Break any law, including tax laws, or use the app to create false or misleading records.
• Upload content that is illegal or that you do not have the right to use.
• Try to hack, overload, reverse engineer or interfere with the app or its systems.
• Get around scan limits, ads or subscription checks.
• Use automated tools to access the app, or resell the app or its features.

10. Ads

The free plan shows ads from Google AdMob. We are not responsible for the content of ads or for third-party products or websites they link to. See our Privacy Policy for how ad data is handled.

11. Our app and intellectual property

We (and our licensors) own the app, including its design, software, name and logos. We give you a personal, non-exclusive, non-transferable, revocable licence to use Otto Receipts on devices you own or control, under these Terms and the App Store or Google Play rules.

If you send us feedback or ideas, we may use them without owing you anything.

12. Third-party services

Otto Receipts relies on third-party services, including Apple, Google (Google Play, Gemini API, AdMob and sign-in), RevenueCat and Convex. Their own terms may also apply. We are not responsible for their services.

13. Ending or suspending your use

You can stop using Otto Receipts at any time. We may suspend or close your account if you break these Terms, if the law requires it, or if needed to protect the app or other users. Where reasonable, we will give you notice and a chance to export your data. Sections that by their nature should continue (such as disclaimers and limits on liability) survive after these Terms end.

14. Disclaimers

Otto Receipts is provided “as is” and “as available.” To the extent the law allows, we do not promise that the app will be error-free or always available, or that extracted data will be accurate or complete. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

15. Limits on our liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for loss of data, profits, tax refunds or deductions, or penalties or interest from tax authorities. Our total liability for any claim relating to Otto Receipts is limited to the greater of (a) the amount you paid for Otto Receipts in the 12 months before the claim, or (b) CAD $50.

16. Indemnity

If you misuse Otto Receipts or break these Terms or the law, and that leads to a claim against us, you agree to cover our reasonable losses and costs, to the extent the law allows.

17. Apple and Google

These Terms are between you and us, not Apple or Google. Apple and Google are not responsible for the app or its content, and have no obligation to provide support or maintenance for it. If you downloaded Otto Receipts from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. If the app fails to meet any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the extent the law allows, Apple has no other warranty obligation. You confirm that you are not located in a country subject to a Canadian or U.S. government embargo and are not on any government list of restricted parties.

18. Changes to these Terms

We may update these Terms. If we make material changes, we will update the effective date above and tell you in the app before they take effect. If you keep using Otto Receipts after that, you accept the updated Terms.

19. Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have jurisdiction over any dispute, unless your local consumer protection law gives you the right to bring a claim where you live.

20. General

If any part of these Terms cannot be enforced, the rest still applies. If we do not enforce a right right away, we have not given it up. You may not transfer these Terms without our permission; we may transfer them as part of a merger, sale or reorganization. These Terms and the Privacy Policy are the whole agreement between you and us about Otto Receipts.
